Terms of Service
These Terms of Service govern the rental and use of NorthLight News Studios facilities and equipment within Canada. By placing a booking, the client agrees to these terms in full.
1. Booking
Bookings are confirmed upon written acceptance from NorthLight. We reserve the right to refuse unsafe or unlawful productions.
- Request details: date(s), start/end time, studio size, expected headcount, equipment needs, and any special access requirements.
- Access window: client access begins at the contracted start time and ends at the contracted end time, including setup and strike.
- Crew size limits: maximum headcount per studio must be disclosed and approved in advance; exceeding approved capacity may incur fees or termination of the session.
- Permits and compliance: the client is responsible for obtaining all required permits, clearances, and compliance approvals for their production.
- Insurance proof: NorthLight may require a certificate of insurance naming NorthLight as additional insured prior to access.
- Booking changes: requested changes (dates, times, resources) are subject to availability and may affect pricing.
2. Cancellation
Cancellations within 48 hours of the booking start time may incur a fee up to 50% of the estimated cost.
- 7+ days’ notice: no cancellation fee.
- 3–6 days’ notice: 25% of the latest estimate.
- Within 48 hours: 50% of the latest estimate.
- No-show or cancellation after call time: up to 100% of the booked time and confirmed resources.
- Rescheduling once without fee if requested 7+ days in advance; otherwise, the schedule change follows the same fee tiers as cancellation.
- Force majeure: if a force majeure event prevents performance, parties will make reasonable efforts to reschedule; fees may be waived at NorthLight’s discretion.
3. Liability
Clients are responsible for damage to facilities or equipment beyond normal wear.
- Care of property: the client is liable for loss or damage to studios, fixtures, equipment, or common areas caused by client personnel, contractors, or guests.
- Prohibited activities: hazardous stunts, pyrotechnics, open flames, smoke effects, or hazardous materials require prior written approval and appropriate permits.
- Clean condition: studios must be returned in clean condition; excessive cleaning, trash removal, or repairs may be billed at prevailing rates.
- Indemnification: the client agrees to indemnify and hold NorthLight harmless from claims arising out of client’s use, except to the extent caused by NorthLight’s gross negligence or willful misconduct.
- Insurance: commercial general liability insurance of not less than CAD 2,000,000 per occurrence is recommended; proof may be required for certain productions.
- Safety compliance: all persons on site must follow posted safety rules and staff instructions. NorthLight may suspend activity it deems unsafe or noncompliant.
4. Payment
Payment is due upon completion unless otherwise agreed. Taxes apply per province.
- Deposit: a deposit up to 30% of the estimate may be required to secure the booking; deposits are credited to the final invoice.
- Security hold: a pre-authorization may be placed on a valid credit card for incidentals and overtime.
- Accepted methods: major credit cards and electronic transfer; cheques may require prior approval.
- Overtime: billed in 30-minute increments beyond the contracted end time at the published overtime rates.
- Late payment: unpaid balances may accrue a 1.5% monthly service charge (18% per annum) or the maximum permitted by law, whichever is lower.
- Taxes: applicable GST/HST/QST/PST are charged based on the province of supply and current regulations.
- Disputes: billing disputes must be submitted in writing within 7 days of invoice date. Undisputed amounts remain payable.
5. House Rules
- No smoking or vaping indoors; designated outdoor areas only where permitted by local by-laws.
- Noise control: amplified sound must remain within local ordinance limits and building policies.
- Food and beverages: restricted in control rooms and near equipment racks; spills must be reported immediately.
- Load-in/out: use approved access routes and protect floors/walls. Carts and dollies must have clean, non-marking wheels.
- Pets: service animals only unless otherwise approved in writing for the production.
6. Data and Privacy
- Footage and content: the client retains rights in their content; NorthLight does not claim ownership.
- CCTV: common areas may be monitored for safety and security in accordance with applicable laws.
- Personal data: NorthLight processes booking and billing data as necessary to provide services and comply with legal obligations.
7. Governing Law
- These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
- The exclusive venue for any dispute shall be the courts located in Toronto, Ontario, unless otherwise mandated by law.
